We look to advise on takeover transactions including recommended offers, takeovers and defences. In addition to advising on the terms and execution of an offer, we also assist in raising funds to finance an offer if required.
When acting for an acquirer, we provide initial strategic advice and negotiation, help to prepare formal offer documentation and make the offer on our client's behalf. We will also carry out shareholder solicitation campaigns and share purchases in support of an offer.
When acting for a target company, we assist the Board with evaluating the proposed offer. The decision whether to recommend the offer is based on a number of factors including the price and terms, the suitability of the offeror and the availability of alternative strategic options. As well as helping the Board to assess these issues, we play a role in negotiations to achieve the optimal outcome for the company and its shareholders..
